1. Acceptance and scope

These Terms of Service (“Terms”) apply to your use of this website and to quotes, orders and services provided by Cross Sound Machine, Inc. (“Cross Sound Machine,” “we,” “us”). By using the website or requesting or accepting our services, you agree to these Terms.

If a written quote, order confirmation or signed agreement contains terms that differ from these Terms, the terms in that document control for that order.

2. Our services

We provide precision machining and metal fabrication services, including CNC machining, fiber laser cutting, precision sheet metal fabrication and forming, finishing, assembly and custom component production, along with related manufacturing services. All work is made to order for the customer’s project.

Information on this website is provided for general information and is not an offer to sell standard products. The applications and illustrations shown are examples of custom work.

3. Customer drawings, files and specifications

You are responsible for the accuracy and completeness of the drawings, CAD files, specifications, and other materials you provide, including dimensions, tolerances, materials, finishes, and the suitability of the design for its intended use. We work to the information you provide and are not responsible for errors or omissions in it.

We may ask questions or request clarification. Where information is missing, unclear or inconsistent, we may pause work, adjust the quote or schedule, or decline the work until it is resolved.

You confirm that you have the right to provide the files and materials you send us and that using them to produce your parts does not knowingly infringe the rights of others.

4. Quotes and estimates

Quotes and estimates are based on the information available when they are prepared, including drawings, specifications, quantities and timelines. They remain valid for the period stated in the quote. If none is stated, we may revise them before you place an order.

We may revise a quote if the information, scope, quantity, materials or schedule changes. Unless the quote says otherwise, taxes, shipping and delivery charges are not included.

An order is accepted only when we confirm it in writing, for example by order confirmation or written acceptance of your purchase order.

5. Prototype and production orders

Where applicable, prototype orders and production orders may be quoted and scheduled separately. Approval of a prototype does not by itself set terms for a later production order. Pricing, quantities and schedules for production are those stated in the applicable quote or order confirmation.

6. CNC machining, laser cutting and fabrication services

Materials, dimensions, tolerances, finishes and other requirements are those stated in the quote or order confirmation. We do not guarantee specifications that are not stated in those documents.

Different processes leave different characteristics on parts, for example the edge condition of a cut or the behavior of metal when it is formed. Please raise any requirement that matters to you before you place an order.

If you supply material, you are responsible for its quality, specification and suitability. Some material may be lost in processing.

7. Finishing and assembly

Finishing and assembly are provided as described in the quote or order confirmation. Unless agreed otherwise in writing, minor appearance variations within a finished part or between batches or lots may occur.

8. Pricing, invoicing and payment

Payments are invoice-based. We issue invoices for work performed, and payment terms and accepted payment methods are stated in the quote, order confirmation or invoice. We may use third-party payment processors, identified on the invoice, to accept payment.

Where applicable, we may require a deposit before work begins or milestone payments during a project, for example before materials are purchased or when defined stages are completed. Any deposit or milestone amounts will be stated in the quote or order confirmation.

If an invoice is not paid when due, we may pause work, hold shipment or delivery, or apply late-payment charges stated in the quote or invoice. Applicable taxes may be added. Please raise any question about an invoice promptly so it can be resolved.

9. Changes to project scope

Requests to change quantities, drawings, specifications, materials, finishes or other scope must be made in writing. Changes may affect price and schedule, and we are not required to begin a change until we have agreed on it in writing. Work already performed before a change is billed as agreed.

10. Production scheduling

Lead times and delivery dates are estimates unless we confirm a firm date in writing. They depend on receiving complete information and approvals, material availability, our production schedule and, where applicable, receipt of any deposit. We will communicate if we expect a delay. Delays do not by themselves make us in breach of an order.

11. Cancellations

To cancel or reduce an order, contact us in writing. If work has begun, you are responsible for work performed, materials purchased or ordered for your order (including custom or non-cancellable materials), setup, and other costs incurred up to the time we receive your cancellation. Deposits or milestone payments will be applied to those amounts.

We may cancel an order if we cannot complete it, for example because information is incomplete or materials are unavailable. In that case we will refund prepayments that have not been applied to work performed.

12. Inspection and acceptance

Please inspect parts promptly after you receive them and tell us in writing about any part that does not meet the specifications in the quote or order. Report issues within the period stated in the order or invoice or, if none is stated, promptly and within a reasonable time after delivery. We may ask for photos, measurements or the parts themselves to evaluate the issue.

If a part does not meet the agreed specifications, we will, at our option, repair, rework or replace it, or issue a credit for it. Parts you use or put into production are considered accepted. This section does not apply to nonconformances caused by information you provided or by misuse or modification after delivery.

13. Shipping and delivery

Where applicable, shipping and delivery terms, charges and responsibility for loss or damage in transit are stated in the quote or order confirmation. Pickup can be arranged where offered. Delivery dates are estimates as described in Section 10.

14. Intellectual property and confidential materials

You keep ownership of your drawings, designs, specifications and other materials. You give us a limited permission to use them only to evaluate your project, prepare quotes and produce the parts or services you request.

We keep ownership of our own processes, methods, programs and know-how. Unless agreed otherwise in writing, tooling, fixtures and programs we create to produce your parts remain ours.

We treat your files and project details as confidential and do not disclose them except as needed to provide the services or as required by law. This does not apply to information that is already public or that you have made public. We will not use your name or products in our marketing without your permission.

15. Warranties

We provide warranties only where expressly stated in writing in the quote, order confirmation or a separate written warranty. Except as expressly provided in that way, and to the extent permitted by law, we make no warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose.

16. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or downtime, arising from our services or this website, even if we have been told they are possible.

To the extent permitted by law, our total liability for any claim relating to an order is limited to the amount you paid us for the specific parts or services that gave rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

17. Use of this website

This website is provided for general information about our company and services. We work to keep it accurate but do not guarantee that it is complete or current. Please do not misuse the website, attempt to disrupt it, or submit unlawful content or files containing malicious code.

18. Events beyond our control

We are not responsible for delay or failure caused by events beyond our reasonable control, such as supply disruptions, transportation problems, utility outages, severe weather, or government actions. We will let you know if such an event affects your order.

19. Governing law

These Terms and any dispute relating to them, our services or this website are governed by the laws of the State of Washington, without regard to its conflict-of-law rules. Disputes will be brought in the state or federal courts located in Washington, and you and we consent to those courts.

20. General

If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. We may update these Terms from time to time by posting a new version here with a new “Last updated” date. Last updated: September 2026.
